1. Scope and Legal Effect

1.1 What these Terms cover

These Terms and Conditions (Terms) govern each visit to, account on, or use of the websites, applications, platforms, products, subscriptions, and services made available by REAL VICTORY GROUPS, a sole proprietorship of Ravi Pandey trading as Real Victory Groups (we, us, our, or RVG), having its principal place of business at 73, Basement, Ekta Enclave Society, Lakhanpur, Kanpur Nagar, Uttar Pradesh 208024, India. RVG's GSTIN is 09CYMPP9152J2ZK and its Udyam Registration Number is UDYAM-UP-43-0133902. These Terms also govern each quotation, proposal, purchase order, invoice, statement of work, work request, or other order that we accept (Order). They apply to digital, creative, technology, advisory, communications, cloud, marketing, and related services whether delivered now or introduced later.

An Order may identify a particular service, deliverable, price, schedule, support level, or special condition. Those Order-specific terms form part of these Terms. If there is an irreconcilable conflict, the following order of precedence applies: an executed written agreement expressly stated to override these Terms; the applicable Order or statement of work; any product-specific terms; and these Terms. A purchase order or procurement form issued by a Client is administrative only and does not amend these Terms unless RVG expressly agrees in writing.

These Terms are intended for business customers and website users. Nothing in them removes a non-excludable right that a consumer may have under applicable law. Where a mandatory law gives a customer greater protection, that law prevails only to the extent of the conflict.

2. Definitions

2.1 Defined words

Affiliate means an entity that controls, is controlled by, or is under common control with a party. Client, you, and your mean the person or organization accepting these Terms or named in an Order. Client Data means data, content, credentials, personal information, files, messages, configurations, and materials supplied by or for a Client. Deliverables means the specific outputs expressly identified in an Order. Documentation means our published or supplied user materials. Fees means all charges, taxes, and reimbursable amounts payable under an Order.

Intellectual Property Rights means copyrights, trademarks, patents, trade secrets, database rights, moral rights, domain rights, and similar rights anywhere in the world. Platform means a website, mobile application, SaaS environment, API, dashboard, integration, or online functionality made available by RVG or a Third Party. Service means any product, subscription, project, consultancy, support, hosting, marketing, creative, development, AI-enabled, communications, or other service provided by RVG. Third Party means a party other than the Client, RVG, or their respective Affiliates, including a platform operator, registrar, host, payment processor, stock-asset provider, advertiser, telecommunications carrier, or AI provider.

3. Acceptance, Eligibility, and Authority

3.1 How acceptance occurs

You accept these Terms when you click or tap an acceptance control, sign or electronically approve an Order, issue a purchase order, send an approval by email or WhatsApp, make any payment, request that RVG begin work, provide access or materials for delivery, create or use an account, access a Service, or accept or use a Deliverable. Acceptance may be evidenced by electronic records, messages, invoices, payment records, platform logs, or other reliable business records.

If you accept on behalf of a company, partnership, trust, government body, or other organization, you represent and warrant that you have authority to bind that organization. You must be at least 18 years old and legally capable of entering into this agreement. You may not use a Service where doing so would breach an applicable law, sanction, platform rule, or binding obligation.

4. Services and Future Products

4.1 Broad service coverage

RVG may provide, among other offerings, graphic and brand design, video and content production, websites, applications, software development, SaaS products, business management and GST billing software, automation, cloud and hosting services, domain services, integrations, AI-enabled services, digital marketing, social-media management, search optimization, advertising support, analytics, consulting, training, communication services, WhatsApp Business Platform solutions, and related support. Service descriptions are illustrative, not exhaustive.

These Terms automatically apply to a new or changed service, product, feature, integration, delivery method, or commercial model made available by RVG unless RVG supplies separate terms for it. A service-specific policy, acceptable-use rule, data-processing addendum, order form, or third-party term may supplement these Terms. We may add, improve, replace, pause, or retire offerings, subject to any unexpired commitments stated in an applicable Order and applicable law.

No description, demonstration, case study, social post, estimate, mock-up, or discussion creates a binding obligation unless it is included in an accepted Order. RVG may use employees, Affiliates, contractors, and subcontractors to perform a Service, while remaining responsible for their work to the extent stated in these Terms.

5. Quotations, Orders, and Changes

5.1 Quotes and scope

A quotation, proposal, estimate, or scope document is an invitation to contract, not an offer capable of acceptance by the Client alone. Unless it says otherwise, a quote expires 15 calendar days after issue. Prices, timelines, features, quantities, third-party costs, and assumptions are based on the information available when it is issued and may change if the scope, Client inputs, law, platform requirements, or external costs change.

An Order is accepted only when RVG confirms acceptance in writing, issues an invoice or commencement notice, starts performance, or receives an advance payment that it accepts. The Client must promptly review each Order and identify any material discrepancy before work starts. An Order may contain milestones, acceptance criteria, support limits, the number of included revisions, and dependencies; anything not expressly included is out of scope.

Any requested addition, deletion, revision, rescheduling, integration, increased usage, or changed requirement is a change request. RVG may assess its effect on Fees, timing, dependencies, and risk, and may require written approval and advance payment before implementing it. We are not required to perform work outside the agreed scope without an approved change request.

6. Fees, Invoices, Payments, Taxes, and License Enforcement

6.1 Payment obligations

The Client must pay all Fees in the currency, amount, and payment schedule stated in the applicable Order or invoice. Unless otherwise stated, invoices are due on receipt. Project work may require an advance, milestone payments, or payment before handover; recurring Services are generally billed in advance. Payments are non-cancellable and non-refundable except where these Terms, an Order, or a mandatory law expressly provides otherwise.

The Client must pay without set-off, counterclaim, deduction, withholding, or delay, except a deduction required by law. If tax, including TDS, is withheld, the Client must provide the applicable withholding certificate or other evidence promptly within statutory timelines and cooperate reasonably so that RVG can claim any available credit. The Client bears bank charges, payment-gateway charges, currency-conversion costs, collection expenses, and reasonable recovery costs caused by late or failed payment.

Fees exclude GST and other applicable taxes unless an Order expressly says they are included. The Client is responsible for taxes arising from its purchase, use, or receipt of the Service other than taxes based on RVG's net income. If the Client disputes a charge, it must send RVG a specific, good-faith written notice with enough detail to investigate within seven business days after the invoice date, and must timely pay all undisputed amounts.

6.2 Late payment and conditional licence enforcement

Overdue undisputed amounts may accrue interest at the rate stated on the invoice or, if none is stated, at 1.5% per month (18% per annum), in each case only to the maximum extent permitted by applicable law and calculated from the due date until paid in full. Nothing in these Terms limits a statutory payment or interest right available to RVG where RVG is an eligible supplier and all statutory conditions are satisfied, including any right under the Micro, Small and Medium Enterprises Development Act, 2006, as amended.

If an undisputed amount remains unpaid for seven calendar days after RVG gives written notice, RVG may suspend performance, withhold undelivered Deliverables, suspend access to an RVG-hosted Service, revoke a conditional licence, require prepayment, or pursue any other lawful remedy. RVG will act proportionately and will use reasonable efforts to give advance notice unless a chargeback, fraud, security event, legal requirement, or urgent risk makes prior notice impracticable.

A licence-validation, access-control, or suspension mechanism may be used only for an RVG-hosted Platform, an RVG-controlled environment, or a Deliverable where that mechanism and its purpose have been disclosed in the applicable Order or Documentation. Subject to applicable law, RVG will not use non-payment as a basis to access, take control of, alter, delete data from, or disable a system that is controlled exclusively by the Client or a Third Party. RVG will not delete Client Data solely because of a payment default before the retention and export process in Clauses 15.2 and 24.2 has run. These remedies are cumulative and do not limit other rights available under law or an Order.

6.3 International and cross-border payments

For Clients located outside India or Orders billed in a foreign currency, the Client must bear all intermediary bank charges, SWIFT/wire transfer fees, foreign exchange conversion margins, and international payment gateway fees so that RVG receives the full net invoiced amount. Any foreign withholding tax, VAT, or local levy imposed outside India is the sole responsibility of the Client and must be paid in addition to the invoiced Fees.

7. Subscriptions, Renewals, and Usage

7.1 Recurring services

For a subscription, the initial term, billing frequency, included limits, and renewal terms are stated in the Order, subscription page, or invoice. Unless an Order states otherwise, subscriptions renew automatically for successive terms equal to the expiring term, and the applicable renewal Fee is charged at the then-current rate. The Client authorizes RVG and its payment partners to collect recurring Fees using the approved payment method.

To stop renewal, the Client must provide written notice through the applicable account, billing channel, or RVG contact channel at least seven calendar days before the end of the then-current billing period, unless an Order specifies a different notice period. Cancellation stops future renewals but does not refund the current period or relieve payment obligations already incurred. RVG may change renewal pricing or usage limits on at least 30 days' notice for a future renewal period, except where a fixed-price Order says otherwise.

Usage limits may include users, messages, API calls, storage, campaigns, seats, domains, credits, AI tokens, processing volume, or other measures. RVG may charge overages, require a plan upgrade, rate-limit use, or suspend excess usage where stated in the Order or reasonably necessary to protect the Platform, other users, legal compliance, or a Third Party.

8. Project Delivery, Acceptance, Change Control, and Dormant Projects

8.1 Milestones and review

Project schedules are estimates unless an Order expressly identifies a date as binding. Timelines depend on timely Client approvals, content, access, decisions, third-party performance, and payment. A Client-caused delay extends affected dates by a reasonable period and may create additional Fees if resources, third-party bookings, licenses, or work must be rescheduled. RVG may sequence or deliver work in stages.

The Client must review each submitted Deliverable or milestone against the agreed acceptance criteria and notify RVG in writing of a material non-conformity within five business days after delivery, unless the Order provides another period. A notice must describe the specific unmet criterion with sufficient detail for RVG to reproduce it. If the Client does not give a timely notice, approves the Deliverable, pays the associated invoice, places it into use, publishes it, or asks RVG to proceed to the next stage, the Deliverable is deemed accepted.

For a valid, timely non-conformity notice, RVG may, as its first remedy, correct or reperform the affected portion within a reasonable time. Feedback that changes an approved direction, adds work, reflects new preferences, or concerns an item outside agreed criteria is a change request, not a rejection. Included revision rounds are limited to the number stated in the Order; further revisions are billable.

8.2 Dormant projects and Client unresponsiveness

If a Client fails to provide required content, credentials, feedback, approvals, or milestone payments for more than 15 consecutive calendar days after RVG's request, RVG may classify the project as Dormant (On-Hold). Upon a project becoming Dormant: (a) RVG may reallocate assigned personnel and resources to other projects; (b) all Fees for work performed and milestones substantially reached up to that date become immediately due and payable; and (c) resuming work will be subject to resource availability, revised timelines, and a reasonable Project Reactivation Fee (or a revised quotation if paused for more than 45 days).

9. Website, App, Software Development, App Stores, and Hardware

9.1 Development services

For website, mobile app, software, integration, automation, and custom-development Services, RVG will use commercially reasonable skill and care to deliver the agreed scope. Unless expressly included, Services do not include perpetual compatibility with every device, browser, operating system, plugin, payment gateway, app-store policy, accessibility standard, security certification, law, or third-party system. Compatibility commitments are limited to the versions, environments, and requirements stated in the Order.

The Client is responsible for final review, user acceptance testing, content verification, legal notices, app-store accounts, payment accounts, domain ownership, regulatory approvals, and decisions about production launch. RVG may use development frameworks, components, libraries, APIs, templates, tools, and coding practices it considers appropriate. Testing reduces but does not eliminate defects, vulnerabilities, downtime, data loss, or incompatibilities; no software is error-free or invulnerable.

Post-launch maintenance, enhancements, backups, monitoring, security updates, migration, app-store submission, and support are included only if specified in an Order. A Client must maintain supported versions and promptly install or permit reasonable security fixes. RVG may decline a request that would create a material security, legal, performance, or maintainability risk.

9.2 App Store approvals and Client hardware disclaimer

While RVG follows standard technical practices for mobile application development, final approval, listing, and continued availability on Google Play Store, Apple App Store, or other marketplaces are solely at the discretion of those platform operators. If an application or developer account is rejected, delayed, restricted, or removed due to the Client's business model, industry category, regulatory requirements, identity verification, or changes in store policies, RVG's development Fees remain fully payable and non-refundable, and any rework required to adapt to new store policies will be treated as a billable change request. Furthermore, RVG is not responsible for the procurement, configuration, maintenance, network connectivity, or failure of any Client hardware (including local computers, mobile handsets, barcode scanners, thermal/POS printers, or biometric devices).

10. SaaS License, Platform Access, Accounts, and Billing Tools

10.1 Limited license

Subject to payment and continued compliance, RVG grants the Client a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable subscription term to access and use the RVG-hosted Platform and Documentation for its internal business purposes and within the purchased limits. No sale, assignment, source-code delivery, or transfer of Intellectual Property Rights is implied by Platform access.

The Client must keep account credentials confidential, use strong passwords, promptly report suspected compromise, and ensure that each Authorized User complies with these Terms. The Client is responsible for all actions taken through its accounts, except to the extent directly caused by RVG's breach of its security obligations. Accounts may not be shared except where the relevant plan expressly permits it.

The Client must not copy, modify, translate, reverse engineer, decompile, disassemble, create derivative works of, scrape, probe, circumvent limits or security controls, or otherwise attempt to derive source code, algorithms, models, databases, or underlying ideas from the Platform, except to the extent a restriction is prohibited by applicable law. RVG may conduct maintenance, upgrades, security work, and emergency changes; planned maintenance will be communicated when reasonably practicable.

10.2 Business management, GST billing, and accounting software disclaimer

Where RVG provides cloud-integrated business management, invoicing, inventory, ERP, POS, or GST billing software, the Platform acts strictly as a technical utility and facilitator. RVG does not provide chartered accountancy, tax, financial, audit, or legal advice. The Client and its professional tax advisors are solely responsible for verifying the accuracy of all invoices, GST rates, HSN/SAC codes, tax calculations, e-way bills, e-invoicing data, ledgers, and statutory filings generated or managed through the Platform. RVG will not be liable for any tax assessments, interest, penalties, audit objections, or compliance failures incurred by the Client.

11. Digital Marketing, Advertising, and Social Media

11.1 Campaign services and ad spend security

RVG may provide strategy, creative, campaign setup, account support, audience research, media buying support, social-media management, lead generation, reporting, and related digital-marketing Services. Marketing performance is influenced by product-market fit, offer quality, budget, competition, audience behavior, platform rules, seasonality, tracking, approvals, and factors outside RVG's control. RVG does not guarantee impressions, reach, followers, leads, conversions, sales, revenue, return on ad spend, account approval, or any particular business result.

Unless expressly included, advertising spend, influencer fees, media costs, promotion credits, and third-party subscriptions are paid by the Client directly through its own payment methods or reimbursed to RVG 100% in advance in cleared funds. RVG is under no obligation to advance media funds or keep campaigns running if pre-funded ad budgets are exhausted. The Client must review and approve materials, audience selections, budgets, claims, offers, landing pages, tracking, and campaign settings before launch. If the Client does not respond by an agreed deadline, RVG may pause, defer, or use the most recently approved direction; it will not be liable for delay or missed opportunity caused by absent approval.

The Client is solely responsible for ensuring that all products, services, claims, disclosures, promotions, prizes, testimonials, targeting, audience data, and communications are lawful, substantiated, non-misleading, and compliant with platform policies (including Meta, Google, LinkedIn, YouTube, and ASCI guidelines) and advertising rules. If an ad account, business manager, page, or campaign is restricted, rejected, or banned by a platform due to Client content, business model, payment method, or platform algorithms, RVG's management and service Fees remain non-refundable. RVG may reject, edit, pause, or remove content that it reasonably considers unlawful, deceptive, unsafe, infringing, discriminatory, or likely to jeopardize an account.

12. SEO, Analytics, and Search Visibility

12.1 No ranking guarantee

Search-engine optimization, analytics, content optimization, technical recommendations, link outreach, and related Services are advisory and implementation services, not a guarantee of ranking, traffic, indexing, featured placement, domain authority, leads, sales, or revenue. Search engines and platforms independently change algorithms, crawls, rankings, policies, interface features, paid-placement rules, and enforcement practices. RVG has no control over those decisions.

The Client authorizes RVG to make only the changes expressly approved or reasonably necessary within the agreed scope. The Client remains responsible for content accuracy, legal compliance, product claims, site ownership, permissions, and decisions to deploy recommendations. We do not promise recovery from an algorithm update, manual action, suspension, hack, prior vendor practice, technical debt, or existing penalty.

RVG will not knowingly use deceptive, spammy, manipulative, or prohibited tactics. If the Client requests a tactic that may breach law or platform policy or create material risk, RVG may refuse it. Analytics reports are based on available data and third-party measurement tools and may contain delays, sampling, attribution limits, discrepancies, or changes in methodology.

13. Creative Design, Content, and Brand Services

13.1 Creative work

Design, branding, copywriting, video, audio voiceovers, animation, presentation, packaging, and content Services are subjective and iterative. RVG will work to the brief and approved direction, but aesthetic preference alone is not a defect. The Client must provide a complete brief, accurate brand information, timely consolidated feedback from its decision-makers, and final approval before production, publication, printing, or launch.

Preliminary concepts, rejected options, rough cuts, working files, research, mood boards, process materials, and unused content remain RVG's property unless an Order expressly says otherwise. RVG may reuse general skills, techniques, ideas, layouts, workflows, and non-confidential know-how, provided it does not disclose the Client's Confidential Information or reproduce Client-owned final Deliverables.

The Client must independently clear names, trademarks, taglines, designs, product claims, packaging, disclosures, and market availability before use. RVG does not provide trademark, legal, regulatory, clearance, or patent advice. The Client must proofread and approve all final copy, spellings, prices, dates, contact details, colors, sizes, links, translations, and production specifications; RVG is not liable for printing or production errors after Client sign-off.

14. AI-Enabled Services

14.1 AI tools and human responsibility

RVG may use artificial-intelligence, machine-learning, generative, automation, voice-synthesis, image-editing, transcription, classification, recommendation, or similar tools to assist in delivering a Service or within its SaaS Platforms. Such tools may be operated by RVG or Third Parties and may change over time. Unless an Order expressly states otherwise, AI-assisted outputs are provided as working material or creative assistance and require Client human review before publication, reliance, operational use, or distribution.

AI outputs may be inaccurate, incomplete, biased, inappropriate, non-unique, unavailable, or similar to material generated for others. RVG does not guarantee that an AI output is original, protectable, non-infringing, accurate, lawful, suitable for a particular purpose, or capable of trademark, copyright, patent, regulatory, medical, legal, financial, employment, or safety use. The Client must not rely on an AI output as professional advice or as the sole basis for a consequential decision.

The Client must not submit personal data, confidential information, trade secrets, regulated data, client credentials, or third-party content to an AI tool unless it has the necessary rights, consents, notices, and authority and the Order permits that processing. RVG may decline inputs or uses that present a material privacy, security, ethical, legal, or platform-policy risk. If an Order includes a specific AI-provider term, that term applies in addition to these Terms.

15. Hosting, Domains, Cloud, Infrastructure, and Data Retention

15.1 Infrastructure services

Hosting, cloud, DNS, SSL, email, server, storage, backup, and domain Services may depend on Third Parties. Unless an Order expressly provides a managed service level, RVG does not guarantee uninterrupted availability, fixed response times, security against every threat, restoration of every file, delivery of every email, or preservation of data. The Client must maintain independent off-site backups of all important content, records, and data.

The Client is responsible for keeping its domain registrant, administrative, technical, payment, and renewal information accurate. A domain is registered subject to the registrar's terms and remains subject to availability, registry rules, verification, transfer locks, expiration, suspension, redemption, and deletion processes. RVG may assist with registration or renewal, but the Client bears all charges and the risk of loss if it fails to approve, pay, or provide timely information.

15.2 Credentials access and retention of hosted data

Where RVG holds credentials or infrastructure access for convenience, the Client must request and securely store its own administrative access as soon as reasonably practical. The Client must not make uncoordinated changes that impair a Service or compromise security. RVG may require a paid migration, security review, or change request for an access transfer, hosting move, restoration, or infrastructure modification.

If a hosting, cloud, server, or SaaS subscription expires or remains unpaid for more than 15 calendar days after the due date, RVG may suspend the affected environment in accordance with Clause 6.2. Before permanently deprovisioning an RVG-hosted environment or deleting Client Data for non-payment, expiry, or termination, RVG will send a written export or retrieval notice to the Client's last-notified billing or legal contact where reasonably practicable. If the Client is current on all undisputed payments and makes a timely request, RVG will provide a reasonable opportunity, ordinarily not less than 15 calendar days from that notice, to export Client Data that is technically retrievable.

After the stated retrieval opportunity, and no earlier than 45 calendar days after expiry or termination, RVG may permanently deprovision the environment and delete Client Data, databases, emails, backups, and application files, subject to applicable law, Third Party retention practices, legal holds, and technical limitations. RVG may retain minimal records or backups for legal, accounting, security, disaster-recovery, or system-operation purposes and will not restore them except where commercially reasonable. The Client remains responsible for maintaining independent backups of all important content, records, and data.

16. WhatsApp Business Platform, TRAI/DLT, and Messaging Services

16.1 Messaging and telecom compliance

WhatsApp Business Platform, WhatsApp API, WhatsApp Business Solution Provider, Bulk SMS, RCS, voice broadcasting, IVR, chatbot, campaign, automation, and similar Services are subject to Meta, WhatsApp, Telecom Regulatory Authority of India (TRAI), Department of Telecommunications (DoT), and provider terms, pricing, technical rules, quality ratings, template review, opt-in requirements, conversation windows, and enforcement decisions. RVG does not control approval, delivery, read status, account quality, message limits, pricing changes, suspension, or termination by any Third Party or telecom operator.

For SMS and voice Services in India, the Client is solely responsible for completing and maintaining valid DLT (Distributed Ledger Technology) entity, header, consent, and template registrations under the TRAI Telecom Commercial Communications Customer Preference Regulations (TCCCPR). The Client is solely responsible for lawful collection and maintenance of valid opt-ins, recipient notices, consent records, DND (Do Not Disturb) scrubbing, unsubscribe handling, approved template content, targeting, message timing, promotional claims, and compliance with privacy, anti-spam, consumer-protection, telecommunications, and platform rules. The Client must not use a messaging Service for unsolicited bulk messages, prohibited content, harassment, fraud, phishing, impersonation, or unlawful processing of personal data.

Conversation, message, template, DLT, and provider fees may be charged by a Third Party and are payable by the Client in advance, whether invoiced directly or through RVG. Any penalty, fine, or deduction imposed by a telecom operator, regulator, or BSP due to the Client's content or non-compliance will be borne entirely by the Client. RVG may require prepayment or immediately suspend a messaging Service where it detects a policy, consent, payment, security, or reputation risk. A provider's suspension or price change does not constitute RVG breach, although we will use reasonable efforts to communicate material information available to us.

17. Third Party Services, Integrations, and Links

17.1 Third Party dependencies

A Service may connect with, recommend, resell, configure, or rely on a Third Party, including Meta, Google, Apple, app stores, cloud hosts, payment gateways, registrars, stock libraries, analytics providers, CRM systems, communications carriers, open-source projects, social platforms, or AI providers. Third Party Services are governed by their own terms, policies, availability, pricing, support models, and privacy practices. The Client must review and comply with them.

RVG is not responsible for a Third Party's acts, omissions, content, outages, API changes, rate limits, data use, account suspension, policy decisions, billing changes, security incidents, discontinuance, or the Client's agreement with that Third Party. We may modify, substitute, restrict, or remove an integration where required by a Third Party, law, security need, or technical feasibility. We will use commercially reasonable efforts to minimize material impact where an active paid Order is affected.

The Client authorizes RVG to use credentials, tokens, permissions, and data access it supplies solely to perform the agreed Service. The Client must ensure that these credentials are valid and that its requested integration does not breach a Third Party agreement. RVG may require the Client to hold the primary account or execute Third Party terms directly.

18. Client Responsibilities, Cooperation, Non-Solicitation, and Non-Disparagement

18.1 Information, approvals, and lawful materials

The Client must provide complete, accurate, current, and lawful briefs, specifications, content, instructions, approvals, credentials, contact information, and access required for the Service. It must appoint an authorized representative who can make timely decisions and consolidate internal feedback. RVG may rely on Client instructions and is not required to independently verify their legal, factual, technical, commercial, or regulatory correctness.

The Client represents and warrants that it owns or has all rights, permissions, licenses, notices, lawful bases, and consents necessary for RVG to use Client Data and Client materials as directed. The Client must keep a secure copy of all materials it supplies and must not provide malware, unlawful code, misleading information, personal data without authority, or materials that infringe, defame, threaten, discriminate, or violate another person's rights.

The Client must promptly notify RVG of a security incident, legal complaint, takedown request, regulatory inquiry, account suspension, material change in instructions, or circumstance that may affect the Service. Failure to cooperate, approve, pay, or provide access may delay work, affect results, trigger a change request, or permit RVG to suspend or terminate the affected Service.

18.2 Non-solicitation of key personnel

During an Order and for 12 months after its completion or termination, the Client must not directly and deliberately solicit for employment or engagement any employee, developer, designer, consultant, or key contractor of RVG who was materially involved in providing Services to the Client, unless RVG gives prior written consent. This restriction does not apply to a general recruitment campaign not directed at RVG personnel, a response to an unsolicited approach, or an engagement that occurs without targeted solicitation by the Client.

If the Client breaches this clause, the parties acknowledge that the resulting recruitment, training, and business-disruption loss may be difficult to quantify. Subject to applicable law, including Section 74 of the Indian Contract Act, 1872, the Client will pay reasonable compensation for the breach, not exceeding the lower of six months' gross remuneration or fees of the affected person and INR 5,00,000. RVG may seek injunctive or other relief, to the extent permitted by law.

18.3 Non-disparagement and fair escalation

In the event of service dissatisfaction, a commercial disagreement, or a scope dispute, the Client agrees to first escalate the matter in good faith through RVG's Grievance Redressal Desk and the dispute-resolution process in Clause 31. The Client and its representatives must not knowingly publish or circulate false, misleading, malicious, defamatory, or coercive statements or reviews with the intent to extort a refund, bypass contractual scope limits, or unlawfully damage the reputation of RVG or its personnel.

Nothing in this clause restricts a person from making a truthful statement, honest opinion, good-faith complaint, report to a regulator or law-enforcement authority, disclosure required by law, or statement in a formal legal proceeding. Nothing prevents either party from preserving or presenting relevant evidence in relation to a dispute.

19. Intellectual Property, Trademarks, and Background Materials

19.1 RVG ownership and Brand Marks

As between the parties, RVG and its licensors retain all right, title, and interest in and to the Services, Platforms, Documentation, Background Materials, methods, libraries, templates, components, frameworks, processes, concepts, tools, models, know-how, code, configurations, workflows, improvements, and other materials developed or owned independently of an Order (collectively, Background Materials). Nothing in these Terms transfers Background Materials to the Client.

All brand names, trade names, logos, device marks, product names, and domain names associated with REAL VICTORY GROUPS and its proprietary software platforms are the exclusive Intellectual Property of RVG. No Client or user may copy, imitate, register, bid on as advertising keywords, or use RVG's marks without express prior written permission.

Except for the limited rights expressly granted under an Order or these Terms, no licence is granted by implication, estoppel, or otherwise. RVG may use general knowledge, skills, ideas, and experience acquired while providing Services, provided that it does not disclose Client Confidential Information or violate a specific exclusivity obligation expressly agreed in an Order.

20. Deliverable Ownership, Source Code, and Editable Files

20.1 Rights after full payment

Upon RVG's receipt of all Fees due for the relevant Order, and subject to all Third Party rights and these Terms, the Client receives the rights expressly stated in that Order for the final Deliverables identified in it. If an Order expressly states that a specified final Deliverable is assigned to the Client, RVG assigns its transferable rights in that final Deliverable upon full payment. If an Order does not state an assignment, RVG grants the Client a perpetual, worldwide, non-exclusive license to use the final Deliverable for its own business and agreed purpose. Until full payment is received, all rights in Deliverables remain the sole property of RVG.

Source code, editable files, layered files (such as PSD, AI, CDR, Figma, Premiere/After Effects project files), design-system files, repositories, build pipelines, working documents, raw footage, templates, development environments, prompt libraries, datasets, training materials, and other production materials are not included or transferred unless an Order expressly identifies them as included. Where included, they are delivered in their then-current state, subject to Third Party, open-source, and Background Material restrictions, and may require reasonable handover or migration Fees.

The Client may not remove notices, resell, sublicense, distribute, register, claim ownership of, or use separately from the final Deliverable any RVG Background Material, component, stock asset, font, template, or Third Party material. RVG may retain archival copies and may use non-confidential visual examples of completed work and the Client's brand name/logo in its portfolio, website, social media, presentations, and award submissions, unless an Order expressly provides a written confidentiality restriction.

21. Stock Assets, Open Source, and Third Party Content

21.1 Licensed materials

Stock photographs, video, music, voiceovers, fonts, icons, templates, plugins, themes, code packages, Canva elements, Shutterstock, Freepik, Envato, Adobe, marketplace assets, and similar materials may be licensed from Third Parties. Their use is subject to the applicable license, which may limit reuse, transfer, print runs, distribution, extraction, modification, AI training, attribution, or use in a logo, trademark, template, or standalone product. RVG does not transfer a broader right than the license permits.

Unless an Order expressly says otherwise, stock or Third Party assets are licensed only as incorporated in the final Deliverable for the agreed purpose. The Client may not extract, separately reuse, resell, sublicense, archive as a reusable asset library, or claim ownership of them. If a Client requests a specific asset, it must approve applicable licensing cost and restrictions. A Client may need to obtain a separate license for a new use, campaign, territory, product, print volume, platform, or derivative work.

Open-source software is provided under its applicable open-source license, not under an assignment or proprietary license from RVG. The Client must comply with attribution, notice, source-disclosure, copyleft, and other obligations that may apply. RVG may replace an asset, component, or dependency if it becomes unavailable, insecure, prohibited, or commercially impractical.

22. Confidentiality, Privacy, and Data Protection (DPDP Act)

22.1 Confidential information

Each party may receive non-public business, technical, financial, commercial, security, client, product, pricing, strategy, and personal information of the other party (Confidential Information). The receiving party must use Confidential Information only to perform or receive the Services, protect it using at least reasonable care, and disclose it only to personnel, Affiliates, advisors, or subcontractors who need to know it and are bound by confidentiality duties no less protective than these Terms.

Confidential Information does not include information that the receiving party can demonstrate was already known without restriction, becomes public without breach, is independently developed without use of the disclosing party's Confidential Information, or is lawfully received from a Third Party without duty of confidence. A receiving party may disclose Confidential Information where law, court order, or regulator requires it, provided it gives notice where legally permitted and reasonably cooperates in seeking protective treatment.

The confidentiality obligations continue for three years after termination, except trade secrets remain protected for as long as they qualify as trade secrets under applicable law. On reasonable request or at termination, each party will return or delete the other's Confidential Information, except for archival copies, backups, legal records, and data retained as required by law or legitimate systems operation.

22.2 Personal data DPDP Act compliance and security

Each party must comply with applicable privacy and data-protection laws, including the Information Technology Act, 2000 and rules made under it, and the Digital Personal Data Protection Act, 2023 (DPDP Act), in relation to its own processing. Where RVG processes Client personal data solely on the Client's documented instructions to provide a Service, the Client is the Data Fiduciary or other responsible controller for that processing and RVG acts as a Data Processor. The Client is responsible for determining the lawful basis, issuing notices, obtaining and managing valid consents where required, responding to Data Principals, and giving lawful documented instructions.

Where RVG determines the purposes or means of processing, including for its own account administration, billing, security, legal compliance, product improvement, or direct dealings with a user, RVG's role and obligations will be determined by applicable law and its relevant privacy notice or service-specific agreement. An Order or data-processing addendum may allocate additional roles and safeguards for a particular Service, but no label overrides the parties' actual role under applicable law.

RVG will use reasonable organizational and technical safeguards appropriate to the nature of the Service. The Client must not provide sensitive, biometric, healthcare, children's, regulated, or high-risk data unless an Order expressly permits that processing and the parties have agreed the necessary safeguards. No security measure is perfect, and the Client acknowledges the security and availability risks of internet-based systems and Third Party Services.

RVG will notify the Client promptly after confirming a material security incident affecting Client Data in RVG's direct control, subject to law-enforcement, legal, and investigation needs. Each party remains responsible for making any report or notification that applicable law requires of it, in the required form and within the required timeline, including under applicable CERT-In directions. Privacy practices for public website visitors are additionally described in RVG's published Privacy Policy.

23. Refunds, Cancellations, and Credits

23.1 Commercial remedies

Custom, made-to-order, advisory, creative, development, setup, implementation, onboarding, campaign, domain, hosting, advertising, Third Party, and digital Services involve committed time, licenses, capacity, or non-recoverable costs. Unless required by law or expressly stated in an Order, Fees for those Services are non-refundable once RVG has begun work, incurred a cost, reserved capacity, purchased a license, submitted an order, provisioned an account, or made a Deliverable available.

A Client may request cancellation in writing. Cancellation becomes effective only when RVG confirms it. The Client remains responsible for all Fees for work performed, time reserved, milestones reached, commitments made, Third Party charges, and reasonable wind-down or transfer work through the effective cancellation date. Any unused advance will be applied to those amounts, and any remaining balance is due or, if RVG determines a refund is properly due, refunded to the original payer after verification and within a commercially reasonable period.

Subscription cancellations take effect at the end of the paid term unless RVG agrees otherwise in writing. Partial periods, unused credits, promotional amounts, setup charges, and Third Party costs are not refundable except as required by law. RVG may issue a service credit in its discretion as a commercial accommodation; a credit is not an admission of fault and does not create a continuing obligation.

24. Suspension, Termination, and Effects

24.1 Suspension

RVG may suspend, restrict, remove, disable, or withhold an RVG-provided Service, Deliverable, account, licence, campaign, domain action, or access if it reasonably believes there is non-payment, a chargeback, security threat, unlawful or prohibited use, infringement claim, privacy risk, platform-policy breach, inaccurate information, material reputational risk, excessive usage, urgent maintenance need, or instruction from a court, regulator, or Third Party. Where practical, RVG will provide notice and an opportunity to cure, but is not required to do so where delay may create harm or liability.

A suspension under this clause does not authorise RVG to access, alter, or disable a system controlled exclusively by the Client or a Third Party, except as expressly permitted under Clause 6.2, a separate written Order, or applicable law. The Client may not treat a good-faith suspension within RVG's authority as RVG breach. Fees continue during a suspension caused by the Client or its users, and RVG is not liable for resulting loss of access, data, rankings, messages, advertising performance, revenue, goodwill, or opportunity to the maximum extent permitted by law. RVG may charge reasonable reinstatement, investigation, restoration, or migration Fees.

24.2 Termination

Either party may terminate an Order for the other party's material breach if the breach is capable of cure and is not cured within 10 business days after written notice. RVG may terminate immediately for a non-curable material breach, repeated breach, insolvency, illegal use, serious security risk, or non-payment that continues after notice. Termination does not affect accrued rights, payment obligations, or a right to claim damages or other relief.

On expiry or termination, the Client must stop using terminated Services and RVG Intellectual Property, pay all outstanding Fees and committed charges, and return or destroy RVG Confidential Information if requested. Where Client Data is held in an RVG-hosted Platform and the Client is current on all undisputed payments, RVG will provide the export and retention opportunity described in Clause 15.2 where technically feasible. Migration, custom export, transfer, or handover assistance is billable unless an Order states otherwise.

25. Acceptable Use and Prohibited Conduct

25.1 Restrictions

The Client and its users must not use a Service, Platform, Deliverable, account, or integration to violate law or rights; infringe Intellectual Property Rights; deceive, defraud, impersonate, harass, threaten, defame, discriminate, distribute malware, interfere with systems, evade security controls, scrape or harvest data unlawfully, send spam, facilitate illegal transactions, or create a material privacy, security, safety, regulatory, or reputational risk.

The Client must not upload or transmit child sexual-abuse material, exploitative content, obscene or pornographic material prohibited under Indian law, hateful or violent content, terrorism-related content, content threatening the sovereignty and integrity of India, malicious code, unlawful gambling or betting content, unauthorized crypto/Ponzi schemes, deceptive financial promotion, unlawful healthcare or pharmaceutical claims (including violations of the Drugs and Magic Remedies Act), or any content prohibited by an applicable platform or law. RVG may investigate suspected misuse, preserve relevant records, cooperate with lawful authorities, and take any action reasonably required to protect users, systems, or rights.

26. Warranties, Disclaimers, and Support

26.1 Limited service warranty

RVG warrants that it will perform professional Services with reasonable skill and care. If the Client gives a valid written notice of material non-conformity within the applicable acceptance period or, for a recurring Service, within 10 business days after discovery, RVG will use reasonable efforts to reperform or correct the affected Service. Reperformance or correction is the Client's exclusive remedy for breach of this limited warranty, except where a mandatory law provides otherwise.

Except for the limited warranty above and to the maximum extent permitted by law, the Services, Platforms, Deliverables, AI outputs, Third Party Services, and Documentation are provided on an "as-is" and "as-available" basis. RVG disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted availability, error-free operation, security, compatibility, results, and performance.

26.2 Support

Support levels, channels, service hours, response targets, maintenance, backups, recovery commitments, and availability commitments apply only where expressly stated in an Order or published service-specific policy. Standard support hours operate during RVG's normal business days in Kanpur, India (excluding Sundays and public holidays), unless 24/7 or emergency support is specifically purchased. Any stated response target is a goal, not a guaranteed resolution time. The Client must provide reasonable information, reproduction steps, access, and cooperation for support requests.

27. Limitation of Liability

27.1 Excluded loss and liability cap

To the maximum extent permitted by law, RVG and its Affiliates, licensors, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profits, revenue, business, goodwill, opportunity, data, use, anticipated savings, reputation, or rankings; cost of replacement services; tax penalties; or loss arising from a Third Party, platform decision, internet failure, security event, Client content, Client instruction, or use outside these Terms, even if advised that the loss was possible.

To the maximum extent permitted by law, RVG's aggregate liability arising out of or relating to an Order or Service, whether in contract, tort, negligence, statute, equity, or otherwise, will not exceed the Fees actually paid by the Client to RVG (excluding Third Party pass-through costs, ad spend, and taxes) for the specific affected Service during the three months immediately preceding the event giving rise to liability. If the affected Service has been active for less than three months, the cap is the net service Fees actually paid for that Service to date. This cap applies in the aggregate and not separately to each claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, willful misconduct where applicable, or death or personal injury caused by negligence to the extent applicable law prohibits limitation. The limitations in this clause apply even if a remedy fails of its essential purpose.

28. Indemnification

28.1 Client indemnity

The Client will defend, indemnify, and hold harmless RVG, its Affiliates, licensors, proprietors, directors, personnel, and contractors from all claims, losses, liabilities, regulatory fines, telecom penalties, damages, costs, and reasonable legal fees arising from or relating to Client Data, Client materials, Client instructions, Client products or services, marketing claims, recipient consent, DLT/TRAI violations, tax or billing inaccuracies, use of a Service by the Client or its users, violation of law or Third Party terms, or an allegation that Client materials or instructions infringe, misappropriate, defame, or otherwise violate another person's rights.

RVG will promptly notify the Client of an indemnified claim, allow the Client reasonable control of the defense and settlement, and provide reasonable cooperation at the Client's expense. The Client may not settle a claim in a manner that admits RVG fault, imposes an obligation on RVG, or affects RVG's rights without RVG's prior written consent.

28.2 Limited RVG IP indemnity

If a third party claims that an unmodified final Deliverable created solely by RVG under an Order directly infringes that third party's Indian copyright, RVG may, at its option, procure a right for the Client to continue using it, modify or replace it so it is no longer infringing, or terminate the affected right and refund the net Fees paid to RVG for that specific Deliverable (less reasonable value for prior use). This is the Client's sole and exclusive remedy for an Intellectual Property claim.

RVG has no obligation for a claim arising from Client materials, Client instructions, Client modification, combination with items not supplied by RVG, use outside the agreed scope, AI-generated outputs, open-source or Third Party materials, stock assets, or continued use after RVG has offered a replacement or stop-use notice. The Client must promptly notify RVG of any claim and provide reasonable cooperation.

29. Force Majeure

29.1 Events outside reasonable control

Neither party is liable for delay or failure to perform caused by an event beyond its reasonable control, including natural disaster, fire, flood, epidemic, pandemic, war, civil unrest, terrorism, labor dispute, governmental action, curfews, power outage, internet or telecommunications failure, submarine cable cut, cyberattack, DDoS attack, failure of a Third Party infrastructure provider, supplier disruption, or change in law or platform policy. The affected party must use reasonable efforts to mitigate the event and resume performance.

Payment obligations for Fees already due are not excused by force majeure. If a force-majeure event materially prevents a Service for more than 30 consecutive days, either party may terminate the affected unperformed portion of the Order on written notice. The Client remains responsible for Services already performed and non-cancellable Third Party commitments incurred before termination.

30. Notices, Electronic Records, and Invoice Acceptance

30.1 Notices and electronic communications

RVG may give operational, legal, billing, renewal, suspension, policy, and service notices through the email address, phone number, WhatsApp number, account, portal, invoice, or physical address associated with the Client, or by posting notice on an applicable Platform or website. The Client must keep contact details current and is responsible for messages received by its authorized representative. A notice is effective when sent, posted, or made available using a permitted method, subject to applicable law.

The Client may send formal legal notices to RVG only in writing via registered post/courier and email using the official contact details in Clause 32.2, or another contact method expressly stated in an Order. Notices concerning a material legal claim must include sufficient identification of the sender, relevant Order, issue, and requested action. Informal support requests, chat messages, and ordinary business communications do not by themselves constitute a formal legal notice unless RVG confirms otherwise.

30.2 Invoice and Order acceptance

Quotations, Orders, invoices, estimates, purchase orders, payment requests, receipts, account records, and electronically stored communications, including email and WhatsApp communications, may be retained as business records and may evidence the parties' agreement, scope, Fees, acceptance, and performance, subject to applicable law and rules of evidence. To the maximum extent permitted by law, the Client accepts an Order, the relevant scope, and these Terms when it signs, digitally accepts, approves by email or WhatsApp, issues a purchase order, pays an advance or invoice amount, grants access, instructs RVG to begin, or uses a Service or Deliverable.

An invoice is commercially accepted as to undisputed charges if the Client does not raise a specific, good-faith written billing objection within seven business days after the invoice date. Payment of an invoice is evidence that the Client accepted the related Service, Order, and these Terms, except for a timely documented dispute, genuine clerical error, or a non-waivable right under law. A silence-based acceptance applies only to the extent legally valid and does not prevent either party from correcting a genuine clerical error.

31. Governing Law, Dispute Resolution, and Jurisdiction

31.1 Good faith resolution and jurisdiction

Before starting formal proceedings, the parties will use good-faith efforts to resolve a dispute through designated business representatives. A party must give written notice describing the dispute and the relief requested. If the dispute is not resolved within 30 calendar days after notice, either party may pursue the remedies available under this clause. Nothing prevents either party from seeking urgent interim, injunctive, or protective relief to prevent imminent harm, misuse of Intellectual Property Rights, security compromise, or unlawful conduct.

Where RVG is legally eligible to do so, nothing in these Terms prevents RVG from pursuing statutory delayed-payment remedies before the appropriate Micro and Small Enterprises Facilitation Council. These Terms, each Order, and any non-contractual dispute or claim, including an Order with an international or UAE/foreign Client, are governed by the laws of India, without regard to conflict-of-law principles.

Subject to a mandatory consumer-protection law and the arbitration paragraph below, the competent courts at Kanpur, Uttar Pradesh, India have exclusive jurisdiction over a dispute arising out of or relating to these Terms, an Order, a Service, or the parties' relationship.

31.2 Arbitration

Where a dispute is legally capable of arbitration and the parties have not resolved it under Clause 31.1, it will be referred to a sole arbitrator appointed by mutual agreement, or, if the parties cannot agree within 15 days, in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration will be Kanpur, Uttar Pradesh, India, and the language will be English. The arbitrator may award costs as permitted by law. This clause does not restrict a court with jurisdiction in Kanpur from granting interim measures or enforcing an award.

32. General Terms, Grievance Redressal, and Contact Details

32.1 General provisions

RVG may update these Terms for future use by posting an updated version on its website or giving notice through a Service. Updated Terms apply from their stated effective date and to new Orders, renewals, new use, and continued use after that date, except that a fixed-term Order remains governed by the version accepted for that term unless an update is required by law, security, or a Third Party condition. The Client should review the Terms periodically.

The Client may not assign, transfer, sublicense, or delegate an Order or these Terms without RVG's prior written consent. RVG may assign them to an Affiliate, successor, or purchaser of relevant business assets if the assignment does not materially reduce the Client's contracted rights. The parties are independent contractors.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and the applicable Order are the entire agreement on their subject matter. Clauses which by their nature should survive—including payment, non-solicitation, non-disparagement, Intellectual Property, confidentiality, disclaimers, limitation of liability, indemnity, and dispute resolution—survive expiry or termination.
